Every board meeting,
filed by its date

Packets, agendas and minutes arrive in email threads and shared drives, and the draft looks just like the approved copy.

The short answer

How do you organize board meeting documents?

Make one folder for each year and, inside it, one folder for each meeting date, like 2026-03-12. Put the agenda, the board packet and the minutes for that meeting together. Keep unapproved minutes in a drafts folder, and move the approved copy into the main folder once the board votes.

  • One folder per meeting date
  • Agenda, packet and minutes together in 2026-03-12
  • Drafts kept apart from approved minutes

The problem

Which version of the minutes did the board approve?
Someone asks for the record, and you have three files with nearly the same name.

Marcus Webb · Board secretary

Here are the draft minutes from last week, and the packet we sent out beforehand.

Board papers are scattered by the time you need them.

The agenda was sent in an email. The packet is in a shared folder. The minutes are a draft on the secretary’s laptop, and nobody is sure whether it was approved.

Then someone needs the official record.

An auditor, a funder or a new board member asks what the board decided last year. You have to work out which file is the real one.

And a draft gets treated as the record.

A decision is quoted from unapproved minutes, or a packet is missing a page. It is a small mistake, but it can undermine trust in how the board keeps its records.

Board minutes are the board’s official record.

If you cannot show which copy was approved, a routine request becomes a long search and a worry.

How it works

Tell Filex how your board files its papers, and answer the auditor in one search.

Write your board’s filing habit as a sentence. Filex then sorts every agenda, packet and set of minutes by meeting date and type.

01

Upload your board documents

Drop in agendas, packets and minutes, including scans. Scanned minutes and half-named drafts are fine as they are.

02

Filex checks each page and places it

It finds the meeting date and the document type on the page, names the file, and places it under that meeting. If the page says DRAFT, the minutes go to the drafts folder.

03

Find any meeting in seconds

Ask for “the approved minutes from March” or “everything from the June meeting” and get the right files straight away.

What you get

Every meeting in order,
and the record you can trust.

Documents land under the right meeting date, and you can ask for a meeting, a document type or a decision by name.

Meetings & people

Every document filed under its meeting, linked to the people named in it.

Filex reads the meeting and the people named in the minutes, such as the chair, the secretary and the treasurer, and links them. Open a meeting to see everything from it.

Board of Directors Minutes

  • Chair: Priya Nair
  • Recorded by: Marcus Webb, Secretary
  • Treasurer: Dana Ortiz

Approval stamp added after the vote: “Approved at the meeting of 11 June 2026”

Groups

A whole meeting, or one type of document, in one place.

Ask for “everything from the March meeting” or “all approved minutes” and Filex gathers every match into one group. Each new set of papers joins its meeting group.

Complete guide

The complete guide to organizing board meeting documents

The folder setup for board meetings

Boards work in meetings, so your folders should too. Make one folder for each year, and inside it one folder for each meeting, named by its date. Everything the board saw at that meeting stays together.

Put the agenda, the board packet and the minutes in that folder. Add attachments the packet refers to, like the financial statements, so no one has to hunt for them later.

  • Level 1: the year, like 2026
  • Level 2: the meeting date, like 2026-03-12
  • Agenda, packet and approved minutes together inside
  • A drafts folder at the year level for unapproved minutes

How to name board documents

Start with the meeting date, year then month then day, followed by the document type. The files sort in the order the meetings happened, and the name still makes sense when it is attached to an email.

Put the status in the name for minutes. Minutes-Draft and Minutes-Approved are hard to confuse, while “final” and “final2” are not. Special meetings and committee meetings can carry a label in the name.

  • Pattern: 2026-03-12-Board-Packet.pdf
  • Types: Agenda, Board-Packet, Minutes-Draft, Minutes-Approved

Keeping approved minutes apart from drafts

Minutes only become the record once the board approves them, which is usually at the next meeting. Until then, keep them in a drafts folder. After the vote, save the approved copy in the meeting’s folder and delete or archive the draft.

Check that the approved copy matches what the board voted on. If amendments were made at the meeting, the approved version should include them. Many boards also keep a signed or stamped copy, so file that as the approved one.

  • Draft minutes live in Drafts until the vote
  • Approved minutes move into the meeting’s folder
  • Keep the signed copy, not the editable file, as the record

How boards usually keep their papers

Many nonprofit boards rely on a secretary’s habits: a shared drive folder, an email thread for each packet, and a binder for the signed minutes. It works while the same person holds the role, and it gets harder at every handover.

Larger boards often move to a board portal, which keeps packets and votes in one place but may not hold your older scans or documents from other sources. Filex sits alongside either habit. You describe the rule in plain words, upload the documents, and it reads each one and files it.

  • By hand: the secretary saves each packet to the shared drive and prints signed minutes for a binder
  • Script: a board portal keeps new packets and votes together but not older scans or outside papers
  • Plain-words rule in Filex: “file by meeting date, drafts apart” and check the result

What Filex will not do with your board minutes

It files documents. It does not take minutes, send packets to directors, record votes, or tell you how long to keep them, so check your bylaws or ask your counsel. It also needs the meeting date on the page, and it can only tell approved from draft if the page says so, such as a DRAFT watermark or a signed note.

Papers you upload later are filed as they arrive. Last year’s binder of old packets is a separate clean-up, and executive session minutes are best kept in their own restricted folder that you set up yourself.

Frequently asked questions

Answers about every board meeting, filed by its date

How should a nonprofit organize board meeting documents?

Use a folder for each year and a folder for each meeting date inside it. Keep the agenda, the board packet and the minutes together, and put the status of the minutes in the file name.

How do I keep approved minutes separate from draft minutes?

Keep drafts in their own folder until the board votes. Once approved, save the final copy in the meeting’s folder with Approved in the name, then archive the draft so only one version looks official.

What should be in a board packet folder?

The agenda, the previous minutes, the financial reports and anything the board is asked to decide on. Keep the packet exactly as it was sent, with the consent agenda inside it, so you can show what directors had before the meeting.

What is the best way to name board minutes?

Start with the meeting date, then the document and its status, like 2026-03-12-Minutes-Approved.pdf. Files sort in date order, and nobody has to guess whether a copy is a draft or the version the board approved.

Can Filex read scanned or signed minutes?

Yes, if the scan is clear. Filex reads the text on PDFs and scanned pages to find the meeting date, and whether the minutes are approved if the page says so. A blurry or handwritten page may need you to file it yourself.

Will Filex change the content of my board documents?

No. It only renames the files and places them in folders. The words in your minutes, packets and agendas are left untouched, and nothing is signed or approved on your behalf.

How do I file committee or special meeting minutes?

Give each committee or special meeting its own dated folder, or add the committee name to the file, like 2026-04-09-Finance-Committee-Minutes-Approved.pdf. Ask Filex for “all finance committee minutes” and it gathers them from every date.
